These Terms and Conditions ("Terms") govern your access to and use of RACE Engineering ("RACE", "Platform", "we", "us", or "our"), a GPU cloud rental marketplace operated by Zavo Nexus Private Limited, a company incorporated under the laws of India with its registered office in New Delhi.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
To use the Platform, you must:
Enterprise Users must ensure that the individual registering on their behalf is duly authorised to do so.
4.1 Account Creation
You must register an account to access paid services. You agree to provide accurate, complete, and current information during registration and to keep it updated.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at contact@raceengineering.ai if you suspect unauthorised access.
4.3 Enterprise Accounts
Enterprise accounts may include multiple users under a single billing entity. The account administrator is responsible for managing user access and ensuring compliance with these Terms across all users.
5.1 GPU Rental
The Platform enables Users to rent GPU compute resources from Providers on an on-demand or reserved basis. Availability of specific GPU models, quantities, and configurations is subject to Provider inventory and may vary.
5.2 No Availability Guarantee
We do not guarantee the continuous availability of any specific GPU type or configuration. We will make reasonable efforts to maintain service availability but shall not be liable for downtime caused by Providers, maintenance, or events beyond our reasonable control.
5.3 Acceptable Use
Users may use GPU Instances for lawful purposes including but not limited to machine learning training, inference, research, and data processing. Users may not use the Platform to:
6.1 Pricing
Pricing is displayed on the Platform in Indian Rupees (INR) for users in India, and in US Dollars ($) for users outside of India. The applicable price is confirmed at the time of order.
6.2 Payment Methods
We accept payments via UPI, net banking, debit/credit cards, and other methods made available through our payment partner (Razorpay). All transactions are processed in INR.
6.3 GST and Invoicing
Goods and Services Tax (GST) will be applied to all transactions as required under applicable Indian tax law. GST-compliant invoices will be issued for each transaction. Enterprise Users must provide their valid GSTIN at the time of registration to receive GST invoices with their GSTIN details.
6.4 Refunds
Charges for consumed GPU compute time are non-refundable. Refund requests for unused pre-paid credits or billing errors must be submitted to contact@raceengineering.ai within 7 days of the relevant transaction. Refunds, if approved, will be processed within 10 business days.
7.1 Ownership
You retain all ownership rights to your Content. By uploading Content to the Platform, you grant us a limited, non-exclusive licence to store, process, and transmit your Content solely to the extent necessary to provide the Services.
7.2 Data Residency
We operate GPU infrastructure within Indian data centres. We will make reasonable efforts to ensure that your Content and compute workloads remain within India. However, certain ancillary services (such as authentication or monitoring tools) may involve data processing outside India, and we will disclose this where applicable.
7.3 Content Responsibility
You are solely responsible for the legality, accuracy, and appropriateness of Content you upload or process on the Platform. We reserve the right to remove Content that violates these Terms or applicable law.
All intellectual property rights in the Platform, including its software, design, trademarks, and documentation, are owned by or licensed to Zavo Nexus Private Limited. Nothing in these Terms grants you any rights in the Platform beyond the limited right to access and use it as set out herein.
The Platform aggregates GPU resources from third-party Providers. We act as an intermediary and are not responsible for the performance, uptime, or conduct of Providers beyond our reasonable control. Any SLA commitments will be set out in a separate agreement where applicable.
To the maximum extent permitted by applicable law:
Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable Indian law.
You agree to indemnify and hold harmless Zavo Nexus Private Limited, its officers, employees, and agents from and against any claims, losses, damages, and expenses (including reasonable legal fees) arising out of your use of the Platform, your Content, or your breach of these Terms.
We may suspend or terminate your access to the Platform immediately and without notice if:
You may terminate your account at any time by contacting contact@raceengineering.ai. Upon termination, your right to access the Platform ceases and any outstanding charges become immediately due.
We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on the Platform. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.
These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.
